Referral Program Agreement

This Referral Program Agreement (“Agreement”) is entered into between Six Eight Logistics Inc., a California corporation doing business as Gorilla Movers and Move With Gorilla(“Company,” “Gorilla,” “we,” “our,” or “us”), and the individual accepting this Agreement (“Referral Partner,” “User,” or “you”).

By creating an account, accessing the platform, submitting referrals, or participating in the Move With Gorilla Referral Program, you acknowledge that you have read, understood, and agreed to this Agreement.

1. Program Overview

The Move With Gorilla Referral Program allows approved Referral Partners to submit potential customer leads to Gorilla Movers through the Move With Gorilla platform.

Referral Partners are independent participants only and are not employees, agents, brokers, franchisees, representatives, movers, or contractors of Gorilla Movers or Six Eight Logistics Inc.

Referral Partners are strictly limited to submitting referral information through the platform. Gorilla Movers maintains sole and exclusive control over all customer communication, quoting, scheduling, pricing, operations, and service decisions.

2. Eligibility

To participate in the Referral Program, you must:

  • Be at least 18 years old
  • Be a legal resident of the United States
  • Use your real legal name
  • Provide a valid email address
  • Provide a valid phone number
  • Agree to this Agreement
  • Comply with all platform rules and policies

Gorilla Movers reserves the right to approve, reject, suspend, or terminate any account at its sole discretion.

3. Referral Partner Status

Referral Partners are independent participants only.

Nothing in this Agreement creates any:

  • employment relationship
  • partnership
  • joint venture
  • agency relationship
  • franchise relationship
  • brokerage relationship
  • authority to bind the Company

Referral Partners:

  • are not employees of Gorilla Movers
  • are not entitled to wages or benefits
  • are responsible for their own taxes
  • may not represent themselves as Gorilla Movers staff or representatives

4. Referral Submissions

Referral Partners may submit potential customer leads through the platform.

Referral submissions may include:

  • customer name
  • phone number
  • email address
  • move address
  • move date
  • referral notes

Submission of a referral does not guarantee:

  • acceptance
  • booking
  • service
  • payment
  • commission

All submitted leads become the exclusive property of Gorilla Movers upon submission.

Gorilla Movers maintains sole discretion regarding:

  • customer contact
  • pricing
  • discounts
  • scheduling
  • move acceptance
  • operational handling
  • customer service
  • commission qualification

5. No Customer Contact

After submitting a referral, Referral Partners may not:

  • contact the customer regarding Gorilla services
  • negotiate pricing
  • provide estimates
  • schedule services
  • interfere with Gorilla operations
  • attempt to service the customer independently
  • redirect customers to competitors
  • represent themselves as Gorilla Movers staff

Referral Partners are expected to “submit the lead and leave it alone.”

Violation of this section may result in:

  • immediate termination
  • forfeiture of commissions
  • permanent platform removal

6. Commission Structure

Referral commissions are based on completed and qualified moves only.

Current standard tier structure:

  • Recruit Tier: 5%
  • Gorilla Tier: 6%
  • Silverback Tier: 7%

Tier advancement currently includes:

  • Recruit → Gorilla after 3 qualified completed moves
  • Gorilla → Silverback after 6 qualified completed moves

Gorilla Movers reserves the right to:

  • modify tiers
  • modify commission percentages
  • create custom commission structures
  • assign custom flat-fee payouts
  • override commissions
  • deny commissions
  • adjust payout structures

at any time and at the Company's sole discretion.

7. Recruitment Bonus

Referral Partners may recruit additional Referral Partners into the platform.

When a recruited Referral Partner earns their first qualifying commission payout, the recruiting Referral Partner may receive a one-time bonus equal to 25% of that first commission payout.

This recruitment bonus:

  • is one-time only
  • is not recurring
  • creates no ownership interest
  • creates no residual rights
  • may be modified or discontinued at any time

8. Commission Payments

Qualified commissions are generally paid:

  • one time only
  • approximately seven (7) business days after move completion
  • excluding weekends and holidays

No commission is earned for:

  • canceled moves
  • uncompleted moves
  • duplicate leads
  • fraudulent submissions
  • invalid leads
  • spam submissions

Gorilla Movers reserves the right to:

  • hold payouts for review
  • investigate suspicious activity
  • deny payouts
  • reverse payouts involving fraud

Referral Partners are responsible for providing valid payment information.

Payment methods may include:

  • electronic payments
  • payment applications
  • ACH
  • check
  • other approved methods

Gorilla Movers may require:

  • tax documentation
  • identity verification
  • payment verification

before issuing payouts.

9. Minimum Payouts and Inactive Accounts

Gorilla Movers may establish:

  • minimum payout thresholds
  • inactive account policies
  • payout expiration policies

Inactive accounts may be:

  • suspended
  • archived
  • terminated
  • reset

Unclaimed or unpaid commissions may expire after extended inactivity.

10. Referral Partner Privacy

Gorilla Movers does not routinely disclose Referral Partner identities to customers or property management companies as part of normal business operations.

Referral information is treated as confidential internal business information.

However, Gorilla Movers may disclose information where reasonably necessary for:

  • legal compliance
  • fraud investigations
  • regulatory requests
  • operational requirements
  • payment processing
  • dispute resolution

11. Dashboard Access

Referral Partners may receive limited dashboard access.

Dashboard access may include:

  • their own submitted leads
  • move status information
  • payout history
  • rankings or leaderboards
  • recruited user information
  • commission reporting

Referral Partners may not:

  • export platform data
  • scrape customer information
  • share account access
  • reverse engineer the platform
  • misuse dashboard information

All dashboard access remains Company property and may be revoked at any time.

12. Branding Restrictions

Referral Partners may not, without prior written authorization:

  • use Gorilla Movers branding
  • use Company logos
  • create advertisements
  • create social media pages
  • create websites using Gorilla branding
  • purchase ads using Gorilla terms
  • create printed marketing materials
  • publicly represent Gorilla Movers

All Company branding, systems, content, logos, software, customer information, and intellectual property remain the exclusive property of Gorilla Movers and Six Eight Logistics Inc.

13. Prohibited Conduct

Referral Partners may not engage in:

  • fake referrals
  • spam
  • harassment
  • duplicate accounts
  • fraudulent submissions
  • customer solicitation
  • customer poaching
  • impersonation
  • platform abuse
  • data scraping
  • selling customer information
  • automated submissions
  • bot activity
  • AI-generated spam submissions
  • unauthorized advertising
  • reputation damage
  • chargeback abuse
  • unlawful conduct
  • interference with Company operations

Gorilla Movers may investigate any suspected misconduct.

Violation may result in:

  • immediate suspension
  • account termination
  • forfeiture of commissions
  • legal action

14. No Guaranteed Earnings

Participation in the Referral Program does not guarantee:

  • income
  • commissions
  • referrals
  • payouts
  • success

Results vary based on many factors.

Gorilla Movers makes no promises regarding financial outcomes or earning potential.

15. Account Termination

Gorilla Movers may suspend or terminate any account at any time, with or without notice, for:

  • policy violations
  • fraud concerns
  • operational reasons
  • inactivity
  • abuse
  • legal compliance
  • business discretion

Referral Partners may request account deletion.

Gorilla Movers may retain records where reasonably necessary for:

  • legal compliance
  • fraud prevention
  • tax reporting
  • operational records
  • dispute resolution

16. Disclaimer of Liability

Gorilla Movers is not liable for:

  • lost profits
  • indirect damages
  • platform interruptions
  • payout delays
  • business losses
  • technical issues
  • referral outcomes

The platform is provided “as is” without warranties of any kind.

17. Governing Law

This Agreement shall be governed under the laws of the State of California.

Any dispute arising from this Agreement shall be resolved in San Diego County, California.

Gorilla Movers may require disputes to be resolved through binding arbitration.

18. Modifications to Program

Gorilla Movers reserves the right to:

  • modify this Agreement
  • change commission structures
  • change payout systems
  • modify platform features
  • discontinue the program

at any time.

Continued use of the platform after modifications constitutes acceptance of updated terms.

19. Electronic Acceptance

By creating an account or using the platform, you acknowledge and agree that:

  • electronic acceptance constitutes a legally binding agreement
  • electronic records may be retained by Gorilla Movers
  • your acceptance is equivalent to a physical signature
